Aware, Inc. Announces Establishment of Stock Repurchase Plan
BEDFORD, Mass., May 4, 2020 /PRNewswire/ -- Aware, Inc. (NASDAQ: AWRE), a leading global provider of biometrics software and solutions, announced that on April 30, 2020, its Board of Directors approved a program authorizing the Company to purchase up to $10 million of its common stock. The shares may be purchased from time to time in the open market or through privately negotiated transactions at management's discretion, depending upon market conditions and other factors. The authorization to repurchase Company stock expires on December 31, 2021.
As of April 30, 2020, the Company had 21,521,886 shares of common stock outstanding. Repurchases will be made under the program using the Company's own cash resources and will be in accordance with Rule 10b-18 under the Securities Exchange Act of 1934 and other applicable laws, rules and regulations.
The program does not obligate the Company to acquire any particular amount of common stock and the program may be modified or suspended at any time at the Company's discretion. As of April 30, 2020, the Company had over $46 million of cash and cash equivalents.
