Attorney Laura Anthony Talks Testing the Waters and Regulation A+ on LawCast

In 2015, when an article in Forbes magazine referred to the JOBS Act and Regulation A+ as "one of the biggest changes in the financial service industry," many people still underestimated the impact it would have on the corporate finance sector. Currently, the JOBS Act and Regulation A+ continue to gain momentum and broader acceptance throughout the investment community.

"The JOBS Act enacted in 2012 made the most dramatic changes to the landscape for the marketing and selling of both private and public offerings since the enactment of the Securities Act of 1933," said Ms. Anthony. "These significant changes include the creation of Rule 506(c), which came into effect on September 23, 2013, and allows for general solicitation and advertising in private offerings where the purchasers are limited to accredited investors only. The overhaul of Regulation A on June 19, 2015, created two tiers of offerings, and allows for both pre-filing and post-filing marketing of an offering, called, "testing the waters," attorney Laura Anthony stated.
