RIO DE JANEIRO, May 3 /PRNewswire-FirstCall/ -- Amilpar (BM&FBovespa: AMIL3, Bloomberg: AMIL3 BZ and APAR < GO >; Reuters: AMIL3 SA), the largest health care company in Brazil, in accordance with article 157, paragraph 4, of Law 6,404/76 (Brazilian Corporate Law) and CVM Instructions no. 358/02 and 319/99, and in addition to the Relevant Facts released on November 19, 2009, April 5, 2010 and April 13, 2010, informs its shareholders and the market that on April 30, 2010 the Extraordinary General Shareholders Meetings of the Company and its subsidiary Amil Assistencia Medica Internacional S.A. ("Amil Assistencia") were held, being approved in both meetings, based on article 252 of the Brazilian Corporate Law, the incorporation, by the Company, of the totality of the shares issued by Amil Assistencia, excluding those currently owned by the Company.
The incorporation of Amil Assistencia shares by Amilpar constitutes the second and last step of the corporate restructuring released in the relevant fact of April 13, 2010, turning Medial Saude S.A. ("Medial") into an integral subsidiary of Amil Assistencia and the latter into an integral subsidiary of Amilpar. As consequence, the shareholding basis of Medial and Amil Assistencia, composed by the shareholders that do not exercise the withdrawal right due to the approval of the above mentioned corporate restructuring, will be transferred to Amilpar.
