FORT WORTH, Texas, Dec. 13, 2013 /PRNewswire/ -- American Airlines, Inc. (American), a wholly-owned subsidiary of American Airlines Group Inc., today announced the private offering of American Airlines, Inc. Pass Through Certificates, Series 2013-2C (Class C Certificates) in the aggregate face amount of $256,018,000. The Class C Certificates will rank generally junior to the American Airlines, Inc. Pass Through Certificates, Series 2013-2A, which were originally issued on July 31, 2013, and the American Airlines, Inc. Pass Through Certificates, Series 2013-2B, which were originally issued on November 27, 2013.

The Class C Certificates will represent an interest in the assets of a pass through trust, which will hold certain equipment notes expected to be issued by American. Such equipment notes are expected to be secured by 41 currently owned Boeing 737-823 aircraft, 14 currently owned Boeing 757-223 aircraft, one currently owned Boeing 767-323ER and 19 currently owned Boeing 777-223ER aircraft. Proceeds from the issuance of the equipment notes are expected to be used by American to pay fees and expenses relating to this offering and for general corporate purposes.
The Class C Certificates are being offered to qualified institutional buyers, as defined in, and in reliance on, Rule 144A under the Securities Act of 1933, as amended (the Securities Act). The Class C Certificates will not be registered under the Securities Act or applicable state securities laws and may not be offered or sold absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state law.
