priceline.com Incorporated Analyst Notes
On June 13, 2014, priceline.com Incorporated (priceline.com) announced that it has entered into a definitive agreement to acquire OpenTable, Inc. (OpenTable) for $103 per share in an all cash transaction valued at $2.6 billion. The transaction has been approved by the Board of Directors of both companies and will be effected through a tender offer. The Company expects the transaction to close in Q3 2014, subject to the satisfaction of customary closing conditions, including the receipt of regulatory clearance. The Company stated that OpenTable will continue to be headquartered in San Francisco, California and will operate as an independent business led by its current management team within The Priceline Group.
