Analyst Update: Public Offering, Financial Results, and Acquisition Proposal
U.S. stocks closed higher on Thursday, recovering from a sequence of slight losses over the week. The rally came despite unexpected drop in both weekly jobless claims and headline inflation figure. The NASDAQ Composite closed at 5,050.79, up 1.39%, the S&P 500 jumped 1.08%, to 2,121.10, and the Dow Jones Industrial Average ended the session 1.06% higher, at 18,252.24. European stocks surged sharply higher on Thursday after the European Central Bank's president reaffirmed its commitment to continue massive stimulus program for the Eurozone. Germany's DAX 30 advanced 1.84%, France's CAC 40 gained 1.36%, and London's FTSE 100 closed 0.34% higher on Thursday. Meanwhile, Asian markets were once again mixed on Thursday. The Shanghai Composite and Hong Kong's Hang Seng posted modest gains, while Japan's Nikkei fell on Thursday.
Noranda Aluminum Holding Corporation reported on May 12, 2015 the pricing of the previously announced secondary public offering of 22,840,000 shares of the Company's common stock held by certain funds affiliated with Apollo Global Management, LLC (the Selling Stockholders). However, the Company will refrain from selling any shares in this offering and will not receive any proceeds from it.
On April 29, 2015, Ashland Inc., a global leader in chemical solutions, reported preliminary financial results for the second quarter of fiscal 2015. Sales revenue for Q2 FY 2015 was $1.35 billion, down 13% YoY, primarily led by divestitures and negative impact of foreign exchange rates. In contrast, selling, general and administrative costs declined by 9% from a year ago, to $239 million, while operating income grew 19% to $218 million in Q2 FY 2015.
In a press release dated May 8, 2015, the Board of Syngenta confirmed that it has received an unsolicited proposal from Monsanto to acquire the Company at a price of CHF449 per Syngenta share with approximately 45% in cash. However, the Board after consultation and a thorough review process with its legal and financial advisers has unanimously determined to reject Monsanto's proposal as it is not in the best interests of Syngenta, its shareholders and its stakeholders.
On May 11, 2015, FMC Corporation announced financial results for the first quarter 2015. Revenue for Q1 2015 was $659.4 million, a 13% YoY decline, primarily due to currency movements. By segment, revenues from Agricultural Solutions and Health and Nutrition were $392.4 million and $211.0 million, respectively, down 16% and 7% on a year-on-year basis.
Fairmount Santrol announced financial results for the first quarter 2015, on May 12, 2015. Total revenue was $301.5 million in Q1 2015, up 2% YoY. Overall sales volumes increased to 2.3 million tons for the quarter, an increase of 8% YoY, primarily driven by strong demand resulting from increased proppant intensity and improved service levels.
