BUENOS AIRES, Argentina, Sept. 21 /PRNewswire/ -- WPE INTERNATIONAL - WPE International Cooperatief U.A. (the "Company"), announced today the results to date of its previously announced cash tender (the "Tender Offer") and consent and proxy solicitation (the "Consent Solicitation") relating to the outstanding U.S. Dollar–Denominated 11.25% Notes due 2014 of Industrias Metalurgicas Pescarmona S.A.I.C. y F. (the "Notes"), conducted in accordance with the Company's Offer to Purchase and Consent and Proxy Solicitation statement dated September 8, 2010 (the "Offer to Purchase").
As of 5:00 p.m., New York City time, on September 21, 2010 (the "Consent Deadline") the Company had received tenders and consents and proxies in respect of approximately U.S.$184.4 million in aggregate principal amount of the Notes, representing approximately 87.8% in principal amount of the outstanding Notes. Accordingly, the requisite consents required to adopt the proposed amendments to the indenture governing the notes have been received.
The completion of the Tender Offer and Consent Solicitation is subject to the satisfaction or waiver by the Company of a number of conditions, as described in the Offer to Purchase.
