HEALDSBURG, Calif., Jan. 14, 2019 /PRNewswire/ -- Truett-Hurst, Inc. (NASDAQ: THST) announced today that it commenced a self tender offer to purchase up to 1,000,000 shares of its Class A common stock, including shares issued upon exchange of limited liability company interests of its subsidiary H.D.D., LLC, or such lesser number of shares of its Class A common stock as are properly tendered and not properly withdrawn, at a price of $2.40 per share of Class A common stock, to the seller in cash, less any applicable withholding taxes and without interest (the "Offer"). The Offer is made upon the terms and subject to the conditions described in the offer to purchase (the "Offer to Purchase") and in the related letter of transmittal. The closing price of Truett-Hurst's Class A common stock on the NASDAQ Capital Market on January 11, 2019, the last full trading day before the commencement of the Offer, was $1.81 per share, and the 90 day weighted average price of the Class A common stock as of January 11, 2019 was $2.00 per share. The Offer is scheduled to expire at 12:00 midnight, New York City time, at the end of the day on February 11, 2019, unless the Offer is extended.
We believe that the Offer set forth in the Offer to Purchase represents an efficient mechanism to provide our stockholders with the opportunity to tender all or a portion of their shares and thereby receive a return of some or all of their investment in the Company if they so elect. The Offer provides current stockholders and holders of LLC units with an opportunity to obtain liquidity with respect to all or a portion of their shares without the potential disruption to the share price. In addition to the primary purpose of providing cash to our stockholders, the Company believes the Offer could reduce the number of the Company's beneficial stockholders sufficiently so that the Company would consider alternatives to remaining a NASDAQ listed reporting company.
