("ISS"), Glass Lewis & Co., LLC ("Glass Lewis") and Egan-Jones Proxy Services ("Egan Jones") have recommended that the Company's stockholders vote "FOR" the proposed going private transaction for $6.05 per share in cash, as contemplated in the agreement and plan of merger, dated November 17, 2016 (the "Merger Agreement"), by and among the Company, Beams Power Investment Limited and Beams Power Merger Sub Limited.
