Sycamore Partners Announces Satisfaction of an Additional Condition to Tender Offer for Talbots Stock
NEW YORK, July 26, 2012 /PRNewswire/ -- Sycamore Partners today announced that the Office of the Comptroller of the Currency ("OCC") has determined not to disapprove the acquisition of control of Talbots Classics National Bank by an affiliate of Sycamore Partners under the Change in Bank Control Act. The OCC's action taken today satisfies the corresponding condition to the completion of the tender offer by TLB Merger Sub Inc. (an affiliate of Sycamore Partners) to acquire all of the outstanding shares of common stock, and the associated stock purchase rights, of The Talbots, Inc. (the "Company") and the other transactions contemplated by the merger agreement. The tender offer is scheduled to expire at 5:00 p.m., New York City time, on Friday, July 27, 2012, unless further extended, and remains subject to the other conditions described in the tender offer materials.
