Southwestern Energy Prices Upsized Offerings Of 26,086,957 Shares Of Common Stock And 30,000,000 Depositary Shares Representing Interests In Mandatory Convertible Preferred Stock
SPRING, Texas, Jan. 15, 2015 /PRNewswire/ -- Southwestern Energy Company (NYSE: SWN) priced its previously announced concurrent underwritten public offerings of 26,086,957 shares of its common stock at a price of $23.00 per share and 30,000,000 depositary shares, each of which represents a 1/20th interest in a share of Southwestern Energy's 6.25% Series B Mandatory Convertible Preferred Stock (the "Convertible Preferred Stock"), with a liquidation preference of $1,000 per share (equivalent to a $50 liquidation preference per depositary share), at a price of $50 per depositary share on January 14, 2015. The offerings were upsized from the previously announced offerings of 20,260,000 shares of Southwestern Energy's common stock and 26,000,000 depositary shares. The net combined proceeds to Southwestern Energy from the offerings are expected to be approximately $2.04 billion, after deducting underwriting discounts and commissions and other estimated offering expenses payable by Southwestern Energy. In addition, Southwestern Energy granted the respective underwriters a 30-day option to purchase up to 3,913,043 additional shares of its common stock and, solely to cover over-allotments, up to 4,500,000 additional depositary shares. The proceeds from the offerings will be used to partially repay borrowings under Southwestern Energy's $4,500,000,000 364-day bridge term loan facility. The common stock offering and the depositary share offering are separate public offerings that have been made by means of separate prospectus supplements, and the closings of the offerings, which are expected to occur on January 21, 2015, are not contingent on one another and are subject to customary closing conditions.
The depositary shares entitle the holders, through the bank depositary, to a proportional fractional interest in the rights and preferences of the Convertible Preferred Stock, including conversion, dividend, liquidation and voting rights. Unless converted earlier at the option of the holders, on or around January 15, 2018 each share of Convertible Preferred Stock will automatically convert into between 37.0028 and 43.4782 shares of Southwestern Energy's common stock (and, correspondingly, each depositary share will convert into between 1.85014 and 2.17391 shares of Southwestern Energy's common stock), subject to customary anti-dilution adjustments, depending on the volume-weighted average price of Southwestern Energy's common stock over a 20 trading day averaging period immediately prior to that date. Dividends on the Convertible Preferred Stock will be payable on a cumulative basis when, as and if declared by Southwestern Energy's Board of Directors, at an annual rate of 6.25% on the liquidation preference of $1,000 per share (or $50 per depositary share), on January 15, April 15, July 15 and October 15 of each year, commencing on April 15, 2015 and ending on, and including, January 15, 2018.
Currently, no public market exists for the depositary shares. Southwestern Energy has applied to list the depositary shares on The New York Stock Exchange under the symbol "SWNC." If the application is approved, Southwestern Energy expects trading of the depositary shares on The New York Stock Exchange to commence within 30 days after the initial delivery of the depositary shares.
