Shea Homes Limited Partnership and Shea Homes Funding Corp. Announce Expiration and Results of Their Previously Announced Tender Offer for Any and All of Their Outstanding 5.875% Senior Notes due 2023
WALNUT, Calif., Feb. 19, 2020 /PRNewswire/ -- Shea Homes Limited Partnership (the "Company") and Shea Homes Funding Corp. ("Funding Corp." and, together with the Company, the "Issuers") announced today the expiration and results of their previously announced cash tender offer (the "Tender Offer") for any and all of their $375 million outstanding principal amount of their 5.875% Senior Notes due 2023 (the "Notes"). The Tender Offer expired at 5:00 p.m., New York City time, on February 18, 2020 (the "Expiration Time").
As of the Expiration Time, holders of $116,511,000 in aggregate principal amount of the Notes, representing approximately 31% of the aggregate principal amount of the outstanding Notes, had validly tendered and not validly withdrawn such Notes. This amount excludes $967,000 aggregate principal amount of the Notes tendered in accordance with the guaranteed delivery procedures, which must be delivered by 5:00 p.m., New York City time, on February 20, 2020. The Issuers expect to accept for payment all Notes validly tendered and not validly withdrawn prior to the Expiration Time.
In accordance with the terms of the Offer to Purchase, dated February 6, 2020 (the "Offer to Purchase"), and the related letter of transmittal and notice of guaranteed delivery, the Issuers will pay all holders whose Notes are accepted for purchase an amount equal to $1,018.04 for each $1,000 in principal amount of the Notes. In addition, holders whose Notes are purchased in the Tender Offer will receive accrued and unpaid interest on their purchased Notes up to, but not including, the initial settlement date of the Tender Offer. Subject to the terms and conditions of the Offer to Purchase, Notes validly tendered other than pursuant to the guaranteed delivery procedures and not validly withdrawn will be paid for on the initial settlement date, which is expected to be February 20, 2020. Subject to the terms and conditions of the Offer to Purchase, Notes validly tendered pursuant to the guaranteed delivery procedures and not validly withdrawn will be paid for on the final settlement date, which is expected to be February 21, 2020.
The Issuers engaged J.P. Morgan Securities LLC to act as the dealer manager for the Tender Offer, and D.F. King & Co., Inc. to serve as the tender and information agent for the Tender Offer.
