(Cobalt) announced the pricing of its registered underwritten public offering of $1.2 billion aggregate principal amount of its 3.125% convertible senior notes due 2024 (the Notes). In addition, the Company has granted the underwriters the right to purchase, for a period beginning on the date hereof and ending on the date that is 12 days after the original issue date, up to an additional $150 million aggregate principal amount of the Notes on the same terms and conditions to solely cover over-allotments, if any. The Company informed that the Notes will mature on May 15, 2024, while the interest is payable semi-annually in arrears on May 15 and November 15 of each year, beginning on November 15, 2014.
