On May 22, 2014, Hess Corporation (Hess) announced that it has reached an agreement to sell its retail business to Marathon Petroleum Corporation (Marathon), which subject to customary closing conditions, is expected to be completed before year-end 2014. The deal was struck for a total cash consideration of $2.6 billion, and the Company intends to use these proceeds for additional share repurchases, the existing repurchase authorization for which has been increased to $6.5 billion, from $4 billion earlier. Commenting on the sale, John B. Hess, CEO of Hess, said, "The sale of our retail business marks the culmination of our strategic transformation into a pure-play exploration and production company." Energy Transfer Equity, L.P. Analyst Notes
On May 22, 2014, Energy Transfer Equity, L.P. (Energy Transfer) announced its intention to commence an offering of additional 5.875% Senior Notes due 2024 in a private placement. The new notes will be offered exclusively to qualified institutional buyers within the United States, and will be issued pursuant to the indenture under which Energy Transfer previously issued its $450 million aggregate principal amount of 5.875% Senior Notes due 2024, all of which remains outstanding.
