Maxcom Announces Second Supplement To Exchange Offer
MEXICO CITY, March 7, 2013 /PRNewswire/ -- (NYSE: MXT, BMV: MAXCOM.CPO) – Maxcom Telecomunicaciones, S.A.B. de C.V. ("Maxcom" or the "Company") today announced that on March 4, 2013 it further amended and supplemented the pending exchange offer (the "Exchange Offer") for any and all of its outstanding 11% Senior Notes due 2014 (the "Old Notes") for its Step-Up Senior Notes due 2020 (the "New Notes").
The Company is further amending and supplementing the Exchange Offer in order to (i) add an obligation that the Company make an offer to repurchase the New Notes at 85% of the principal amount of the New Notes with a portion of the capital contribution it receives from shareholders exercising their preemptive rights in connection with the capital contribution of approximately US$45 million by the purchaser of the Company in connection with the equity tender offer for Maxcom's Series A Common Stock and related CPOs and ADSs and (ii) clarify the obligation and timing of the US$45 million capital contribution to Maxcom.
