(Nasdaq: LTXB) ("LegacyTexas") today announced that it has notified NASDAQ of the anticipated effective date of the previously-announced proposed merger (the "merger") with Prosperity Bancshares, Inc. ('Prosperity") contemplated by that certain Agreement and Plan of Reorganization, dated as of June 16, 2019. LegacyTexas anticipates that the merger will be effective as of November 1, 2019, subject to the approval of the shareholders of Prosperity and the stockholders of LegacyTexas and the satisfaction or waiver of the other closing conditions described in the definitive merger agreement.
Following completion of the merger, the common stock of LegacyTexas will cease to be listed on the NASDAQ and will be deregistered under the Securities Exchange Act of 1934, as amended.
