HOUSTON, Dec. 7, 2020 /PRNewswire/ -- Kraton Corporation (NYSE: KRA) (the "Company") today announced that Kraton Polymers LLC and Kraton Polymers Capital Corporation, its wholly-owned subsidiaries (together, the "Issuers"), have priced $400.0 million in aggregate principal amount of senior notes due 2025 (the "New Notes") in connection with their previously announced private offering of the New Notes. The New Notes, which priced at par, will mature on December 15, 2025, and will pay interest semiannually at an annual rate of 4.250%. The New Notes will be general unsecured obligations of the Issuers and will be guaranteed by the Company and certain of the Issuers' wholly-owned domestic subsidiaries that guarantee the U.S. dollar denominated borrowings under the Company's existing senior credit facilities and outstanding senior notes. The offering of the New Notes is expected to close on December 21, 2020, subject to customary conditions.
The Issuers intend to use the net proceeds from the offering of the New Notes, together with cash on hand or borrowings under the Company's asset-based revolving loan facility, to redeem all of their outstanding 7.000% Senior Notes due 2025 (the "7.0% Senior Notes") and to pay related fees and expenses of the refinancing.
The Company also today announced that the Issuers have delivered a conditional notice of redemption to redeem the outstanding 7.0% Senior Notes on January 6, 2021 (the "Redemption Date") at a redemption price equal to 105.250% of the aggregate principal amount of the 7.0% Senior Notes redeemed plus accrued and unpaid interest to, but excluding, the Redemption Date. The redemption is conditioned upon the consummation of the offering of the New Notes on or prior to the Redemption Date, which condition may be waived by the Issuers in their sole discretion.
The New Notes and related guarantees will be offered, and sold, to persons reasonably believed to be qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain non-U.S. persons outside of the United States pursuant to Regulation S under the Securities Act.
