CHICAGO, July 22, 2020 /PRNewswire/ -- Ryerson Holding Corporation (NYSE: RYI) announced today that Joseph T. Ryerson & Son, Inc., its wholly-owned subsidiary ("JT Ryerson"), has completed its previously announced offering of $500 million aggregate principal amount of its 8.50% Senior Secured Notes due 2028 (the "2028 Notes") in a private offering to persons reasonably believed to be "qualified institutional buyers," as defined in Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and non-U.S. persons outside the United States under Regulation S under the Securities Act.
The 2028 Notes were priced to investors at 100% of their principal amount and will mature on August 1, 2028. JT Ryerson's obligations under the 2028 Notes will be guaranteed by the Company as well as certain subsidiaries of the Company. The 2028 Notes and the related guarantees will be secured by a first-priority security interest in substantially all of JT Ryerson's and each guarantor's present and future assets located in the United States (other than receivables, inventory, money, deposit accounts and related general intangibles, certain other assets and proceeds thereof), subject to certain exceptions and customary permitted liens. The 2028 Notes and the related guarantees will also be secured on a second-priority basis by a lien on the assets that secure JT Ryerson's and the Company's obligations under their senior secured asset-based revolving credit facility.
In addition, today, an irrevocable notice of redemption was distributed to holders of JT Ryerson's 11.00% Senior Secured Notes due 2022 (the "2022 Notes"). The redemption of the outstanding aggregate principal amount of all of the 2022 Notes is scheduled to occur on August 21, 2020. Also, today JT Ryerson satisfied and discharged the indenture governing the 2022 Notes.
