NEW YORK, Oct. 23, 2013 /PRNewswire/ -- The Society of Corporate Secretaries and the Weinberg Center for Corporate Governance at the University of Delaware are proud to announce a unique and thought provoking program, Delaware Law Issues Update. The program will be held Nov. 20-21, 2013, at the University of Delaware.
This first-time program will feature members of the Delaware judiciary, corporate and plaintiff attorneys, corporate secretaries, and investors. It is focused on practical implications of trends in Delaware law, but will be highly relevant even if you are not a Delaware practitioner as Delaware law is highly influential on corporate and governance practices throughout the country.
Panels will explore:
- Director Fiduciary Duties in Compensation Decisions
- What to Do When an Activist Investor Comes Calling
- When Bad Things Happen to Good Companies
- Federal and State Judicial Developments and Private Litigation
- Merger and Acquisition Trends and Developments
- Practical Tips on How to Keep the Board Out of Trouble
Each panel will cover Delaware case law and give best practice advice on how to avoid lawsuits and negative decisions where lawsuits are filed. Speakers include Chief Justice Myron Steele and Justice Jack B. Jacobs from the Delaware Supreme Court, and Chancellor Leo E. Strine Jr. and Vice Chancellors Sam Glasscock and J. Travis Laster from the Delaware Court of Chancery.
