Merck & Co. Inc. Analyst Notes
On June 9, 2014, Merck & Co. Inc. (Merck), along with Idenix Pharmaceuticals, Inc., announced that they have entered into a definitive agreement. The Company stated that under the agreement, it will acquire Idenix for $24.50 per share in cash in a transaction approved by the Board of Directors of both companies and valued at approximately $3.85 billion. Additionally, the Company stated that Merck, through a subsidiary, will initiate a tender offer to acquire all outstanding shares of Idenix Pharmaceuticals, Inc. Commenting on the agreement, Dr. Roger Perlmutter, President, Merck Research Laboratories, stated, "Idenix's investigational hepatitis C candidates complement our promising therapies in development and will help advance our work to develop a highly effective, once-daily, all oral, ribavirin-free, pan-genotypic regimen that has a duration of treatment as short as possible for millions of patients in need around the world." GW Pharmaceuticals plc Analyst Notes
On June 17, 2014, GW Pharmaceuticals plc (GW) announced that the Company, along with its shareholders, intends to sell 1.7 million American Depositary Shares (ADS) representing ordinary shares of the Company on the NASDAQ Global Market in an underwritten U.S. public offering, subject to market and other conditions. According to the Company, it will grant underwriters a 30-day option to purchase up to an additional 255,000 ADSs at the offering price. Additionally, GW stated that the price for the offering has not been determined yet and there is no assurance whether or when the offering may be completed, or the actual size or terms of the offering. Endocyte, Inc. Analyst Notes
On June 17, 2014, Endocyte, Inc. (Endocyte) announced that the Company has regained worldwide rights to vintafolide in all indications from Merck. According to the Company, Merck, through one of its subsidiaries, has decided not to pursue development of vintafolide, following a comprehensive portfolio assessment. Commenting on the announcement, Endocyte President and CEO, Ron Ellis, said, "We look forward to presenting detailed data from the ongoing Phase 2b TARGET trial at an upcoming scientific conference later this year, which will inform the path forward for vintafolide. We remain confident in our SMDC platform and are in a strong financial position to continue to advance two proprietary SMDCs with the more potent tubulysin warhead. Tubulysin has demonstrated curative activity in preclinical models that were resistant to paclitaxel, cisplatin and vintafolide. These two SMDCs are currently in Phase 1 development: EC1456, targeting the folate receptor, and EC1169, targeting prostate-specific membrane antigen (PSMA)."
