Belpointe PREP and Belpointe REIT Sign Definitive Merger Agreement; Belpointe PREP to Commence an Exchange Offer for Belpointe REIT's Common Stock
Existing Belpointe REIT stockholders would own, in the aggregate, approximately 99.9% of the combined company.
The proposed transaction will create the first and only qualified opportunity fund ("QOF") to be listed on a national securities exchange.
The proposed transaction will lead to increased value through consolidation of Belpointe REIT's assets and stockholder base with Belpointe PREP's increased capital raising capacity.
The proposed transaction will lead to significant tax advantages as a result of the combined company's status as a qualified opportunity fund, limited liability company and publicly traded partnership, allowing holders of Belpointe PREP's Class A units to benefit from certain tax advantages such as the qualified business income deduction under Section 199A of the Internal Revenue Code and the avoidance of gains attributable to depreciation recapture, in addition to the ability to take advantage of depreciations deductions on distributions.
The proposed transaction will lead to improved acquisition prospects for the combined company, as its publicly traded partnership structure allows for the acquisition of qualified opportunity funds without violating the opportunity zone regulations.
GREENWICH, Conn., April 22, 2021 /PRNewswire/ -- Belpointe PREP, LLC ("Belpointe PREP") announced today that it signed an Agreement and Plan of Merger to acquire Belpointe REIT, Inc. (OTCQX: BELP) ("Belpointe REIT"). In connection with the merger Belpointe PREP is commencing an offer to exchange each outstanding share of common stock of Belpointe REIT for 1.05 of Class A units of Belpointe PREP. The exchange offer is scheduled to commence on April 28, 2021 and expire, unless otherwise extended or terminated, at 11:59 P.M., New York City time, on May 27, 2021.
