DENVER, March 6, 2015 /PRNewswire/ -- Andrew Rubin, J.D., LL.M., senior associate in Burleson LLP's Denver office, will speak at two upcoming events on tax issues impacting transactions involving the sale of oil and gas interests.
His first presentation, "When a Sale Is Not a Sale: Oil and Gas Divestitures," will be given on March 11 before the Tax Section of the Colorado Bar Association in Denver. His second presentation, "Oil & Gas Transactions: Tax, Law, and Land," will be given on March 12 before the Council of Petroleum Accountants Societies (COPAS) in Oklahoma City.
Both talks will place a particular emphasis on when a sale of leasehold working interest is not considered a sale for tax purposes and the restrictions that apply to like-kind exchanges of oil and gas properties.
Rubin said the presentations will add clarity to certain aspects of the Internal Revenue Code (IRC) influencing operations in the Rockies.
"Under Colorado state law, interests in oil and gas are considered to be interests in real property," explained Rubin. "But there are significant distinctions between the taxation of real property interests and of oil and gas properties under the IRC. These sessions will shed light on some general principles and give attendees a broader understanding of the primary tax issues impacting the sale and like-kind exchange of oil and gas properties."
Rubin has broad experience advising businesses on a variety of tax matters, from federal and international tax planning to state and local tax controversies. He has counseled companies on the state and local tax treatment of helium production, manufacturing investment credits and exemptions, and financial instruments.
As a member of the firm's Oil and Gas Transactions Group, Rubin also represents clients in the energy sector in the negotiation and drafting of oil and gas leases, purchase and sale agreements, joint operating agreements, farmout agreements, and financing and credit agreements.
