AMILPAR - Press Release - Acquisition of Hospital Pasteur
RIO DE JANEIRO, April 28, 2011 /PRNewswire/ -- AMIL PARTICIPACOES S.A. (BM&FBovespa: AMIL3; Bloomberg: AMIL3 BZ; Reuters: AMIL3 SA), the largest healthcare company in Brazil, in accordance with CVM Instruction 358, of January 3, 2002, informs that signed today through its subsidiary Esho – Empresa de Servicos Hospitalares S.A. an agreement with the owners of Meier Medical Center Ltda., also known as Hospital Pasteur ("Pasteur") for the acquisition and transference of the totality of the representative quotas of Pasteur's capital. Our indirect controlling shareholder is one of Pasteur's owners, with an interest of 60.85%. Amilpar represents approximately 50% of the revenues presented by Pasteur in 2010.
The total amount of the deal is R$ 90 million, R$ 43 million of which for the acquisition of 60.85% from our indirect controlling shareholder's interest, and R$ 47 million for 39.15% from the remaining shareholders. Considering these values, our indirect controlling shareholder will receive a lower amount compared to that offered for the other shareholders, which corresponds to the investment he made in Pasteur adjusted by the inflation. The payment will be made in 35 monthly and consecutive installments.
The hospital is located in the North region of the city of Rio de Janeiro and has a total capacity of 200 beds in own real estate, which will be included in the acquisition – with 17,000 square meters, and is considered the main hospital reference in its region. It has an average occupancy rate above 90% and annual revenues of approximately R$ 70 million. This acquisition reinforces Amilpar's investment strategy, consolidating even more its leadership in Rio de Janeiro.
