Amilpar - Acquisition of Pro-Cardiaco and Issuance of Long-Term Debt
RIO DE JANEIRO, April 19 /PRNewswire-FirstCall/ -- Amilpar (BM&FBovespa: AMIL3, Bloomberg: AMIL3 BZ and APAR < GO >; Reuters: AMIL3 SA), the largest managed care organization in Brazil, in accordance with CVM Instruction 358, of January 3, 2002, informs that on April 16, 2010 the Hospital de Clinicas de Niteroi Ltda. ("HCN"), a company owned by our indirect controlling shareholder, signed an Agreement for the acquisition of 89.44% of the shares representative of the capital stock of Pro-Cardiaco Pronto Socorro Cardiologico S.A. ("Pro-Cardiaco"). The total amount of the deal was R$ 98.4 million, to be paid as follows: R$ 53.6 million at the signing of the Agreement, R$ 22.4 million after 12 months and R$ 22.4 million 24 months after the signing of the contract. Tag Along rights will be offered for the remaining shareholders of Pro-Cardiaco.
In a meeting of the Board of Directors held today, the independent board members Mr. Jose Isaac Peres and Mr. Luiz Fernando Furlan decided that Amilpar, through its direct subsidiary Amil Assistencia Medica Internacional S.A., should exercise the right of first refusal for the acquisition of Pro-Cardiaco. The independent board members' decision was ratified by other members of the Board of Directors, with abstention of Mr. Edson de Godoy Bueno and Ms. Dulce Pugliese de Godoy Bueno.
This acquisition reinforces the investment that Amilpar is making over the years to increase the excellence of the medical services offered to its beneficiaries. Pro-Cardiaco was founded in 1959, in the Southern region of the city of Rio de Janeiro, has 110 beds and is one of the main benchmarks in high complexity medicine, specializing in cardiological treatment. In 2009 the revenues of the hospital totaled approximately R$ 140 million.
The Board of Directors also authorized the Company's Management to take all necessary procedures for the issuance of long-term debt, limited to the total short-term debt currently held by Amilpar. The objective of this approval will be to extend the current Company's debt profile.
