Alon Blue Square Announces Results of Votes on Plan of Debt Arrangement
YAKUM, Israel, August 16, 2016 /PRNewswire/ --
Alon Blue Square Israel Ltd. (OTC:BSIRY) (the "Company") announced today that further to its announcement dated August 10, 2016, in connection with the approval of the proposed debt reorganization and arrangement between the Company and its financial creditors under Section 350 of the Israeli Companies Law, 5759-1999 (the "Settlement" and the "Companies Law"), by the District court in Lod (the "Court"), subject to receipt of approval of the proposed amendments by the holders of the Company's Series C Debentures, the holders of the Company's controlling shareholder's Series A Debentures and certain financial creditors of the proposal to amend the Settlement (the "Amendment Proposal"), that:
- No objections were filed in connection with the Amendment Proposal by the Company's financial creditors by the date set by the Court (12:00 p.m. on August 15, 2016).
- On August 14, 2016, the general meeting of the Company's Series C Debentures has resolved to approve the Amendment Proposal.
- On August 15, 2016, the Amendment Proposal was approved by the board of directors of Alon Israeli Oil Company Ltd. and the board of directors of Alon Retail Ltd., the controlling shareholders of the Company, subject to the approval of the general meeting of the Series A Debentures.
- On August 15, 2016, the general meeting of the Company's controlling shareholder's Series A Debentures has resolved not to approve the Amendment Proposal.
- In the Court decision from August 10, 2016, it was noted that in the event that the approvals are not obtained, the Court will consider using its powers pursuant to Section 350M of the Companies Law to approve the Settlement.
The Company intends to urgently file a motion with the Court to approve the Settlement notwithstanding the objection of the holders of the Company's controlling shareholder's Series A Debentures.
