Affinion Group Holdings, Inc. Announces Results For The First Quarter Ended March 31, 2015
Reaffirms Full Year Guidance For 2015
STAMFORD, Conn., April 30, 2015 /PRNewswire/ -- Affinion Group Holdings, Inc. ("Affinion Holdings" or the "Company"), the global leader in enabling companies to connect and engage with their customers, thereby creating rewarding relationships and enhancing brand loyalty, announced today the financial results for the three month period ended March 31, 2015 (the "first quarter" or "quarter") for itself and selected financial information for its wholly-owned subsidiary, Affinion Group, Inc. ("Affinion").

Results Highlights
Notes: Adjusted EBITDA as referred to above excludes any pro forma impact of acquisitions and other actions. See Tables 6 and 7 for a complete description of Adjusted EBITDA and the related reconciliations to GAAP measures.
First Quarter Net Revenues
- Net revenues for the first quarter of 2015 decreased 5.9%, from $321.4 million in the first quarter of 2014 to $302.3 million.
- The decrease in overall net revenues was primarily due to expected revenue declines in Membership, as well as declines in the International and Insurance and Package businesses, partially offset by revenue growth in Global Loyalty. Lower revenue in International was due to an unfavorable foreign exchange impact of $13.8 million.
First Quarter Operating Results
- Adjusted EBITDA (as defined in Note (d) of Table 6) was $58.4 million as compared to $70.5 million for the first quarter of 2014, a decrease of 17.2%.
- Segment EBITDA increased $9.6 million, as the impact of lower net revenues was more than offset by lower operating costs and lower general and administrative expenses largely due to charges and fees recorded in 2014 related to certain international legal matters.
- As compared to Segment EBITDA, first quarter Adjusted EBITDA reflects the exclusion of, among other items, $7.7 million in costs related primarily to restructuring of certain operations including related severance costs and $1.4 million in costs relating to certain litigation matters.
Segment Commentary
Global Loyalty products net revenues increased by $3.9 million, or 9.4%, for the three months ended March 31, 2015 to $45.3 million as compared to $41.4 million for the three months ended March 31, 2014, primarily due to growth with existing clients.
Global Loyalty Segment EBITDA increased by $0.5 million for the three months ended March 31, 2015 to $15.5 million as compared to $15.0 million for the three months ended March 31, 2014, as the increased margins associated with existing clients was substantially offset by additional costs primarily from one-time integration expenses.
International products net revenues decreased by $7.4 million, or 7.9%, to $86.1 million for the three months ended March 31, 2015 as compared to $93.5 million for the three months ended March 31, 2014. On a currency consistent basis, net revenues increased $6.4 million as higher retail membership revenue in both our online and offline acquisition channels associated with increased members and growth in existing clients in the wholesale sector was more than offset by an unfavorable foreign exchange impact of $13.8 million.
International Segment EBITDA increased by $14.2 million to $7.2 million for the three months ended March 31, 2015 as compared to a loss of $7.0 million for the three months ended March 31, 2014, as the lower net revenue was more than offset by lower general and administrative expenses, lower marketing and commissions and lower operating costs. General and administrative expenses decreased primarily due to the absence in 2015 of charges and fees recorded in 2014 related to certain legal matters.
Membership products net revenues decreased by $13.2 million, or 11.4%, to $102.9 million for the three months ended March 31, 2015 as compared to $116.1 million for the three months ended March 31, 2014. Membership net revenue decreased primarily due to the continued attrition of legacy members, including those from our large financial institution partners, partially offset by increased revenues from new joins acquired through partners with whom we are actively marketing.
Membership Segment EBITDA decreased by $10.3 million for the three months ended March 31, 2015 as compared to the three months ended March 31, 2014. Segment EBITDA decreased as the impact of lower net revenues and higher general and administrative expenses were partially offset by lower marketing and commissions and lower operating costs.
Insurance and Package products net revenues decreased by $2.6 million, or 3.7%, to $68.3 million for the three months ended March 31, 2015 as compared to $70.9 million for the three months ended March 31, 2014. Insurance net revenue decreased primarily due to slightly higher cost of insurance from higher claims experience and lower supplemental insureds, while Package net revenue decreased primarily due to the impact of lower average Package members.
Insurance and Package Segment EBITDA decreased by $0.8 million for the three months ended March 31, 2015 as compared to the three months ended March 31, 2014, as the impact of lower net revenues was partially offset by lower operating costs and lower general and administrative expenses.
Selected Liquidity Data
Affinion Group, Inc.
Affinion has several debt instruments outstanding, including senior notes, senior subordinated notes, and senior secured credit facilities, which consist of first lien and second lien term loan facilities and a revolving credit facility.
At March 31, 2015, Affinion had $767.2 million of first lien term loans outstanding, $425.0 million of second lien term loans outstanding, $473.4 million (net of discounts) outstanding under its senior notes due in 2018, $2.6 million outstanding under its senior subordinated notes due in 2015, and $353.7 million (net of discounts) outstanding under the Affinion Investments, LLC senior subordinated notes due in 2018.
At March 31, 2015, there were outstanding borrowings of $34.0 million against Affinion's revolving credit facility and $30.5 million of the credit facility was available for borrowing, after giving effect to the issuance of $15.5 million in letters of credit.
As of March 31, 2015, Affinion's senior secured leverage ratio was 2.79 to 1.0. The senior secured leverage ratio is defined in our amended and restated senior secured credit facility, as amended on May 20, 2014 (senior secured debt, as defined, to Adjusted EBITDA, as defined) and must be equal to or less than 4.25 to 1.0 at March 31, 2015.
As of March 31, 2015, Affinion's fixed charge coverage ratio was 1.61 to 1.0. The fixed charge coverage ratio is defined in the indentures governing our 2010 senior notes and 2013 senior subordinated notes (consolidated cash flows, as defined, which is computed with the same addbacks as in Adjusted EBITDA (as defined in our amended and restated senior secured credit facility) to fixed charges, as defined). The calculation of fixed charges excludes the amortization of deferred financing costs associated with the amendment and restatement of our credit facility on April 9, 2010.
For the three months ended March 31, 2015, Affinion's net cash used in operating activities was $14.9 million and the net loss attributable to Affinion was $25.3 million. Pro forma Adjusted EBITDA (as defined in Note (d) of Table 7) for both ratio calculations above was $280.1 million for the twelve months ended March 31, 2015.
At March 31, 2015, Affinion had $32.6 million of unrestricted cash on hand.

At March 31, 2015, Affinion Holdings had $228.5 million (net of discounts) outstanding under its senior secured PIK/toggle notes due in 2018 and $32.2 million outstanding under its senior notes due in 2015, in addition to Affinion's debt instruments.
At March 31, 2015, Affinion Holdings had $36.9 million of unrestricted cash on hand, of which $4.3 million resides at Affinion Holdings.
