Virtus Investment Partners Files Shelf Registration Statement
HARTFORD, Conn., April 8 /PRNewswire-FirstCall/ -- Virtus Investment Partners, Inc. (Nasdaq: VRTS), which operates a multi-manager asset management business, today announced it has filed a shelf registration statement on Form S-3 with the U.S. Securities and Exchange Commission.

The company does not have immediate plans or current commitments to sell securities under the shelf registration statement, said George R. Aylward, president and chief executive officer. "This registration, which is a common component of a public company's capital structure, gives us greater financial flexibility for the future."
Upon being declared effective by the SEC, the shelf registration statement will allow Virtus to raise up to $100 million through the sale of equity or debt, in one or more future offerings. Specific terms of any future offerings will be established by the company at the time of the offering, subject to market conditions, and will be described in a prospectus supplement filed with the SEC at that time. In addition, as required under the terms of the minority investment in Virtus by Harris Bankcorp, Inc., a U.S. subsidiary of Bank of Montreal, the shelf registration statement also registers for resale approximately 1.7 million shares of common stock issuable upon the conversion of Virtus' Series B Convertible Preferred Stock, currently held by Harris.
