(NasdaqGS: RIGL), today announced the pricing of its previously announced underwritten public offering of 18,100,000 shares of its common stock, offered at a price of $3.35 per share to the public. The gross proceeds to Rigel from this offering are expected to be $60,635,000, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Rigel. All of the shares in the offering are to be sold by Rigel. The offering is expected to close on October 10, 2017, subject to the satisfaction of customary closing conditions. Rigel has granted the underwriters a 30-day option to purchase up to an aggregate of 2,715,000 additional shares of common stock at the public offering price, less underwriting discounts and commissions.
Jefferies LLC and BMO Capital Markets Corp. are acting as joint book-running managers for the offering. H.C. Wainwright & Co., LLC is acting as lead manager for the offering.
