LA JOLLA, Calif., July 19, 2017 /PRNewswire/ -- Regulus Therapeutics Inc. (NASDAQ: RGLS), a biopharmaceutical company developing innovative medicines targeting microRNAs, today announced the pricing of an underwritten public offering of 44,000,000 shares of its common stock at the price to the public of $0.91 per share. Regulus has granted the underwriters a 30-day option to purchase up to an additional 6,600,000 shares of common stock. The offering is expected to close on or about July 25, 2017, subject to customary closing conditions. The net proceeds to Regulus from the offering, excluding any exercise by the underwriters of their 30-day option to purchase additional shares, are expected to be approximately $37.3 million after deducting underwriting discounts and commissions and other estimated offering expenses payable by Regulus. Regulus intends to use the net proceeds from the offering to fund clinical development of its clinical candidates, RG-012 and RGLS4326, development of its earlier microRNA development candidates and programs, for the identification and validation of additional microRNA targets, and for capital expenditures, working capital and general corporate purposes.
Leerink Partners is acting as sole book-running manager in the offering. Needham & Company and Wedbush PacGrow are acting as co-managers.
