Nutrisystem Reports Inducement Grants Under NASDAQ Listing Rule 5635(c)(4)

FORT WASHINGTON, Pa., May 29, 2012 /PRNewswire/ -- Nutrisystem (NASDAQ: NTRI), a leading provider of weight management products and services, today announced that it had agreed to hire Aditi Javeri Gokhale and Vivek Saxena as senior executives in its E-Commerce/Digital business. Both executives are expected to commence employment with Nutrisystem within the next 30 days.

To induce Ms. Gokhale and Mr. Saxena to accept these key positions, Nutrisystem's Board of Directors has authorized grants to Ms. Gokhale and Mr. Saxena of an aggregate of 87,455 restricted shares of Nutrisystem common stock. Each award will be effective upon commencement of the grantee's employment with Nutrisystem and will be subject to service-based vesting over four years in equal annual installments. The awards will be granted as "inducement awards" under applicable NASDAQ rules and, therefore, while the awards will be substantially similar to restricted stock issued under Nutrisystem's stockholder approved equity plan, the awards will not reduce the shares reserved for issuance under that plan.
