SALT LAKE CITY, March 30, 2015 /PRNewswire/ -- inContact (NASDAQ: SAAS) today announced the completion of its offering of $115 million aggregate principal amount of 2.50% Convertible Senior Notes due 2022 (the "Notes"). This includes the purchase of $15 million aggregate principal amount of Notes by the initial purchasers pursuant to the exercise of their option to purchase additional Notes. The Notes were offered and sold in a private placement to qualified institutional buyers pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act").
The Notes will mature on April 1, 2022 and will pay interest semi-annually at a rate of 2.50% per year, payable on April 1 and October 1 of each year, beginning October 1, 2015. The Notes will be unsecured, senior obligations of inContact. The Notes will not be redeemable at inContact's option prior to April 1, 2019. On or after April 1, 2019, the Notes will be redeemable at inContact's option if the last reported sale price of inContact's common stock for at least 20 trading days (which need not be consecutive trading days) in any 30 trading day period exceeds 130% of the conversion price for the Notes. The redemption price will equal 100% of the principal amount of the Notes being redeemed, plus accrued and unpaid interest, including additional interest, if any, to, but excluding, the redemption date. In addition, upon the occurrence of a fundamental change, holders of the Notes will have the right, at their option, to require inContact to repurchase their Notes in cash at a price equal to 100% of the principal amount of the Notes to be repurchased, plus accrued and unpaid interest to, but excluding, the fundamental change repurchase date.
The Notes will be convertible, upon satisfaction of certain conditions, at an initial conversion rate of 70.2790 shares per $1,000 principal amount of Notes, which is equivalent to an initial conversion price of approximately $14.23 per share, and will be subject to adjustment upon the occurrence of certain events. In addition, inContact may be obligated to increase the conversion rate for any conversion that occurs in connection with a make-whole fundamental change and with inContact's delivery of a notice of redemption for the Notes. Prior to October 1, 2021, the Notes will be convertible only during certain periods and subject to certain circumstances. On or after October 1, 2021, the Notes will be convertible at any time. inContact will settle conversions of the Notes by paying or delivering, as the case may be, cash, shares of its common stock, or a combination of cash and shares of its common stock, at its election.
The net proceeds to inContact from this offering were approximately $111.2 million, after deducting the initial purchasers' discount and estimated offering expenses payable by inContact. inContact intends to apply approximately $22.7 million of the net proceeds to retire approximately $11.7 million of term loans and capital lease obligations and to repay $11.0 million of outstanding draws on its secured revolving credit facility, which will result in $15.0 million of future borrowing capacity under the revolving credit facility. The remaining net proceeds will be used for general corporate purposes.
The offering is being made to qualified institutional buyers pursuant to Rule 144A under the Securities Act. Neither the Notes nor any shares of inContact's common stock issuable upon conversion of the Notes have been or will be registered under the Securities Act or under any state securities laws and, unless so registered, may not be offered or sold in the United States or to U.S. persons except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
