IBERIABANK Corporation Completes Acquisition of Georgia Commerce Bancshares, Inc.
LAFAYETTE, La., June 1, 2015 /PRNewswire/ -- IBERIABANK Corporation (NASDAQ: IBKC), the holding company of the 128-year-old IBERIABANK (www.iberiabank.com), announced completion of the acquisition of Georgia Commerce Bancshares, Inc. ("Georgia Commerce") and its subsidiary bank, Georgia Commerce Bank, based in Atlanta, Georgia. The acquisitions, including the merger of Georgia Commerce Bank with and into IBERIABANK, were completed effective on May 31, 2015. The branch and operating systems conversions are expected to be completed within the next 30 days.

Under the terms of the Agreement and Plan of Merger, Georgia Commerce common stock shareholders shall receive 0.6134 of a share of IBERIABANK Corporation common stock for each outstanding share of Georgia Commerce common stock. The number of IBERIABANK Corporation shares issued in the merger was based on the weighted average trading price of the Company's common stock during the 20-trading day period ended May 29, 2015, of $64.08. Based on the Company's closing common stock price of $64.26 per share on May 29, 2015, the aggregate value of the common stock received at the time of closing was $39.42 per share of Georgia Commerce common stock. The stock transfer agent, Computershare, will send to Georgia Commerce common shareholders instructions regarding the process to exchange shares within approximately two weeks from the closing date.
