Greenhill & Co., Inc. Announces Common Stock Offering

NEW YORK, May 3 /PRNewswire-FirstCall/ -- Greenhill & Co., Inc. (NYSE: GHL), a leading independent investment banking firm, announced today that it entered into an underwriting agreement (the "Underwriting Agreement") with Goldman, Sachs & Co., as the underwriter (the "Underwriter"), pursuant to which certain managing directors and senior advisors of Greenhill & Co. agreed to sell to the Underwriter 3,000,000 shares of common stock.  The shares are being sold pursuant to a prospectus supplement, dated May 3, 2010, to be filed with the Securities and Exchange Commission, and a related prospectus, dated May 3, 2010, filed with the Securities and Exchange Commission, each relating to the Company's shelf registration statement on Form S-3.

Greenhill & Co. will not receive any proceeds from the sale of the shares offered and sold by the selling stockholders.
