Equal Energy Implements a Normal Course Issuer Bid for its Convertible Debentures

CALGARY, AB, Aug. 4, 2010 /PRNewswire-FirstCall/ - Equal Energy ("Equal", "the Company") announces that it has made the necessary filings, and received the necessary approvals, to make a normal course issuer bid for its 8.25% convertible unsecured subordinated debentures (the "8.25% Debentures") and its 8.00% convertible unsecured subordinated debentures (the "8.00% Debentures" and with the 8.25% Debentures, the "Debentures") through the facilities of the Toronto Stock Exchange (the "TSX") commencing August 6, 2010 and ending August 5, 2011, or on such earlier date as Equal may complete its maximum allowable purchases under the bid as described below.
During the previous normal course issuer bid ended on May 31, 2010, Equal acquired $121,000 of the 8.00% Debentures at a weighted average price of $825 per $1,000 and $32,000 of the 8.25% Debentures at a weighted average price of $801 per $1,000.
The 8.25% Debentures have a face value of $1,000 per debenture, a maturity date of June 30, 2012 and are convertible into shares of Equal at a price of $20.40 per share. The 8.25% Debentures pay interest semi-annually on June 30 and December 31. The 8.00% Debentures have a face value of $1,000 per debenture, a maturity date of December 31, 2011 and are convertible into shares of Equal at a price of $27.75 per share. The 8.00% Debentures pay interest semi-annually on June 30 and December 31.
Equal currently has $39,648,000 principal amount of the 8.25% Debentures outstanding. A total of $3,964,000 principal amount of the 8.25% Debentures may be acquired under the bid, representing 10% of the "public float" of the 8.25% Debentures. Equal's daily purchase restriction under the bid is $22,000 principal amount of the 8.25% Debentures, subject to "block purchase" exemptions permitted by the rules of the TSX. Equal will acquire the 8.25% Debentures under the bid at the market price at the time of purchase, with the acquired 8.25% Debentures being cancelled.
Equal currently has $80,210,000 principal amount of the 8.00% Debentures outstanding. A total of $8,021,000 principal amount of the 8.00% Debentures may be acquired under the bid, representing 10% of the "public float" of the 8.00% Debentures. Equal's daily purchase restriction under the bid is $26,000 principal amount of the 8.00% Debentures, subject to "block purchase" exemptions permitted by the rules of the TSX. Equal will acquire the 8.00% Debentures under the bid at the market price at the time of purchase, with the acquired 8.00% Debentures being cancelled.
In the opinion of the board of directors of Equal, the Debentures may be, from time to time, undervalued by the market, and the cost to Equal of acquiring the Debentures under a normal course issuer bid is an expense prudently incurred by Equal to increase unitholder value.
