Digital Realty Trust Announces Pricing of 10 Million Shares of 7.000% Series E Cumulative Redeemable Preferred Stock
SAN FRANCISCO, Sept. 8, 2011 /PRNewswire/ -- Digital Realty Trust, Inc. (the "Company" or "Digital Realty") (NYSE: DLR) today announced the pricing of an underwritten public offering of 10,000,000 shares of Series E Cumulative Redeemable Preferred Stock at a price of $25.00 per share for gross proceeds of $250,000,000. The offering is expected to close on September 15, 2011, subject to closing conditions. The Company has granted the underwriters a 30-day option to purchase up to an additional 1,500,000 shares of its Series E Cumulative Redeemable Preferred Stock to cover over-allotments, if any. The Company intends to list the shares on the New York Stock Exchange.
The Company intends to contribute the net proceeds from this offering to its operating partnership, Digital Realty Trust, L.P., which will subsequently use the net proceeds received from the Company to temporarily repay borrowings under its revolving credit facility, to acquire additional properties, to fund development and redevelopment opportunities, for general corporate purposes, including potentially for the repurchase, redemption or retirement of outstanding debt or preferred equity securities, or a combination of the foregoing. The offering is being made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission.
