Digital Realty Commences Offering Of Guaranteed Notes
SAN FRANCISCO, April 8, 2016 /PRNewswire/ -- Digital Realty Trust, Inc. (NYSE: DLR), a leading real estate investment trust and global provider of data center, colocation and interconnection solutions, today announced that Digital Euro Finco, LLC, a wholly-owned subsidiary of its operating partnership, Digital Realty Trust, L.P., has commenced an offering, subject to market conditions, of Euro-denominated Guaranteed Notes, or the Notes. The Notes will be senior unsecured obligations of Digital Euro Finco, LLC and will be fully and unconditionally guaranteed by the Digital Realty Trust, Inc. and Digital Realty Trust, L.P.
The company intends to use the net proceeds from the offering of the Notes to temporarily repay borrowings under its global revolving credit facility.
The Notes will be offered only outside the United States in reliance on Regulation S under the U.S. Securities Act of 1933, as amended, or the Securities Act. The Notes will not be registered under the Securities Act and will not be offered or sold in the United States or to United States persons (within the meaning of Regulation S under the Securities Act) absent registration or an applicable exemption from registration requirements.
