NEW YORK, Feb. 2, 2012 /PRNewswire/ -- Bull & Lifshitz, LLP announces an investigation into possible breaches of fiduciary duty in connection with the proposed sale of Micromet, Inc. (NASDAQ: MITI) (referred to as "Micromet" or the "Company") to Amgen Inc. ("Amgen"), in a cash transaction valued at approximately $1.16 billion.

Pursuant to the agreement, a subsidiary of Amgen has commenced a tender offer to acquire all of the outstanding shares of Micromet's common stock at a price of $11 per share in cash. The tender offer and withdrawal rights will expire at 12:00 midnight, New York City time, at the end of Thursday, March 1, 2012, unless the offer is extended. Following the purchase of shares through the tender offer, Amgen will complete the transaction by acquiring all remaining shares not acquired in the offer through a merger at the same price as the tender offer.
