Alon Krotz Springs Announces Expiration and Results of Exchange Offer for Its 13 1/2% Senior Secured Notes Due 2014

DALLAS, Feb. 12 /PRNewswire-FirstCall/ -- Alon Refining Krotz Springs, Inc. (the "Company") announced today the expiration and results of its offer to exchange (the "Exchange Offer") its 13 1/2% Senior Secured Notes due 2014 (the "Exchange Notes") that have been registered under the Securities Act of 1933, as amended (the "Securities Act"), for its outstanding 13 1/2% Senior Secured Notes due 2014 (the "Outstanding Notes").

The Exchange Offer expired at 5:00 p.m., New York City time, on February 11, 2010.  Wilmington Trust FSB, the exchange agent for the Exchange Offer, has advised us that $215.92 million aggregate principal amount of the Outstanding Notes were validly tendered and not validly withdrawn prior to the expiration of the Exchange Offer, representing 99.7% of the aggregate principal amount of Outstanding Notes outstanding upon commencement of the Exchange Offer.  All of the Outstanding Notes validly tendered and not validly withdrawn have been accepted for exchange pursuant to the terms of the Exchange Offer.

Pursuant to the Exchange Offer, the Company offered to exchange $1,000 principal amount of the Exchange Notes for each $1,000 principal amount of its Outstanding Notes, upon the terms and subject to the conditions set forth in the Company's prospectus dated January 13, 2010 and the related letter of transmittal.  The Exchange Notes are substantially identical to the Outstanding Notes, except that the Exchange Notes have been registered under the Securities Act and will not have any of the transfer restrictions, registration rights and special interest provisions relating to the Outstanding Notes. The Exchange Notes will evidence the same debt as the Outstanding Notes. The Company expects that settlement of the Exchange Offer will occur on or about February 17, 2010.
