Alere Inc. Announces Offering of $350 Million of Senior Subordinated Notes
WALTHAM, Mass., Sept. 13 /PRNewswire-FirstCall/ -- Alere Inc. (NYSE: ALR) announced today that it intends to offer $350 million of senior subordinated notes due 2018 through a private placement, subject to market and other conditions. Alere intends to use the net proceeds from the offering for working capital and other general corporate purposes.
The private placement, which is expected to commence immediately, will be to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in compliance with Regulation S under the Securities Act. The notes are not being registered under the Securities Act. Unless so registered, the notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
